Frequently asked questions
Are all companies required to keep accounting?
All commercial companies (SL, SA, cooperatives) are required to maintain accounting in accordance with the General Accounting Plan (art. 25 of the Commercial Code) and to prepare annual accounts at the end of each fiscal year (art. 34 C. of Commerce). Self-employed individuals are not required to maintain commercial accounting, but they are required to record their income and expenses for tax purposes.
When are companies required to audit their accounts?
Companies that exceed two of the three thresholds of article 263 LSC for two consecutive financial years are required to audit their accounts: total assets greater than 4 million euros, annual turnover greater than 8 million, or an average number of employees greater than 50. Companies that receive public subsidies greater than 600,000 € are also required to audit.
What happens if the annual accounts are not filed with the Commercial Registry?
If the annual accounts are not filed within the legal deadline (1 month from their approval by the board), the Commercial Registry closes the company's registration sheet: no other acts (appointments of directors, statutory modifications, etc.) can be registered until the situation is regularized. The ICAC can impose fines of up to €300,000 for repeated failure to file.
How long does the company keep the accounting documentation?
Accounting documentation must be kept for 6 years from the last entry recorded in the books (art. 30 C. de Comercio). For tax purposes, documents that support the taxable bases and the deductions applied must be kept as long as they can be subject to verification by the AEAT (4 years from the end of the deadline for submitting the declaration, art. 70 LGT).
