What does a commercial lawyer do?
A commercial lawyer advises companies on all legal aspects of their business activity: establishment and management of the company, drafting and negotiation of contracts, corporate operations (mergers, acquisitions, splits), protection of intellectual and industrial property, regulatory compliance (compliance, GDPR) and representation in conflicts between partners or with third parties before commercial courts.
What are the parasocial agreements and why are they important for startups?
Parasocial agreements are private agreements between the partners of a company that complement the statutes and regulate aspects that these do not contemplate: preemptive rights, drag-along and tag-along clauses, founder vesting, anti-dilution, and information rights of investors. They are especially important for startups because they set the rules of the game between founders and investors before conflicts arise.
What is the difference between an SL and an SA?
The main differences are the minimum capital (3,000 € for the SL, 60,000 € for the SA), the way to represent the capital (shares in the SL, stocks in the SA) and the transferability: in the SA, the stocks are freely transferable unless restricted by bylaws; in the SL, the transfer of shares is more restricted by law. The SA is preferable when it is anticipated to be listed on the stock exchange or to carry out large capital increases with many investors.
When should I file for bankruptcy?
The bankruptcy proceedings are mandatory when the company is in a state of current insolvency: inability to regularly meet its payable obligations. The deadline for filing is two months from when the debtor knows or should know their state of insolvency (art. 5 of the TRLC). Failing to file on time may result in personal liability for the administrator and in the classification of the proceedings as culpable.
